Chase focuses his practice in the areas of mergers and acquisitions, commercial contracting, business entity planning, corporate governance, security and data privacy, and other general business needs. His focus encompasses all aspects of a business’s life cycle from entity formation and strategic planning to succession, acquisition, or other exit events. Chase also has experience working with non-profit organizations and social impact funds.

Represented a cloud-based financial data and intelligence platform during its recapitalization and strategic sale of a minority stake to a leading global financial institution. This complex transaction, which involved various domestic and international components, ensured our client retained control of the business, had long-term commercial agreements in place, and was sufficiently protected in its new chapter with a strategic minority owner.

Represented a national private-equity backed logistics company in its acquisition of multiple transportation and logistics companies across the United States.
Commercial Contracts

Provides ongoing counseling to a multi-billion dollar international electronic parts manufacturer concerning commercial contracting and corporate governance, including the drafting and negotiating supply and customer agreements, vendor agreements, and high-volume NDAs.

Represents clients across various industries — including software, cloud-based solutions, manufacturing, HVAC, life sciences, food and beverage, technology, data, e-commerce, hospitality, marketing, and transportation — in navigating, drafting and negotiating complex commercial agreements.

Represents a software and digital engineering business consulting services company in managing its global commercial contracting needs, including drafting and negotiating MSAs and related customer agreements.
General Corporate / Corporate Governance
- Guides clients across various industries through their corporate lifecycle, from formation to dissolution. This includes drafting essential organizational documents such as articles of incorporation, certificates of organization, bylaws, operating agreements, shareholders' agreements, consents, and other foundational documents.
